Transferring UR22 MKII to different person

Unfortunately I’m selling my UR22 MKII (mostly time constraints). I just disconnected my DAW in my mysteinberg account. If I sell the DAW, can they register it once again with the same download code I got? Can they still download Cubase AI/LE for free with the same credentials?
